Terms and Conditions
Please read these carefully before using BORO.

In plain English
Boro is a marketplace where people list items and rent them to each other. When you book an item, your rental agreement is with the other person — not with Boro. Boro provides the platform, processes payments, and offers optional damage protection, but we don't own the items and we are never a party to your rental. If you use the platform, you accept these Terms.
1. Acceptance of these Terms
1.1. By creating an account, listing an item, booking an item, or otherwise using Boro ("the Platform"), you agree to these Terms and Conditions ("Terms") and to our Privacy Policy.
1.2. If you do not agree with any part of these Terms, do not use the Platform.
1.3. We may update these Terms from time to time, as described in Section 21. Continued use of the Platform after updated Terms take effect constitutes acceptance of them.
2. Definitions
Boro / we / us / our: [Boro Inc., legal entity name and jurisdiction of incorporation], the operator of the Platform.
Owner: a user who lists an item for rent.
Renter: a user who books and pays to rent an item.
Listing: an item offered for rent by an Owner, including its title, description, photos, price, declared value, and availability.
Booking: a confirmed reservation of a Listing for specific dates, created when a Renter completes checkout.
Rental Agreement: the per-booking rental contract between the Owner and the Renter, accepted by both parties at checkout.
Rental Period: the dates selected at booking, from pickup to return.
User / you: any person who uses the Platform, whether as Owner, Renter, or both.
3. The marketplace — what Boro is and is not
3.1. Boro is a venue that connects Owners and Renters. Boro is not the owner, seller, lessor, or bailee of any listed item, and is not a party to any Rental Agreement. Every rental contract formed through the Platform is solely between the Owner and the Renter.
3.2. Owners are solely responsible for their Listings, including accuracy, legality, safety, and availability. Renters are solely responsible for their inspection, use, and return of rented items.
3.3. Boro does not inspect, certify, test, or guarantee any item, Owner, or Renter. Identity verification, ratings, and reviews are provided to help you make your own decisions; they are not endorsements or warranties.
3.4. Users are independent of Boro. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between any user and Boro.
4. Eligibility and accounts
4.1. You must be at least 18 years old — or the age of majority in your jurisdiction, if higher — and legally capable of entering into contracts to use Boro.
4.2. You must provide accurate, current information when registering and keep it up to date. Accounts are personal: do not share your account or allow others to transact through it.
4.3. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at [support email] if you suspect unauthorized access.
4.4. We may require identity verification before you can list items, book items, or receive payouts. We may refuse, suspend, or require re-verification of any account at our discretion.
4.5. One account per person, unless we approve otherwise. Creating accounts to evade a suspension or restriction is prohibited.
5. Listings (Owners)
5.1. You represent that you own each item you list, or have the owner's permission to rent it out, and that the item is lawful to possess and rent in your jurisdiction.
5.2. Listings must be accurate and complete: truthful title and description, representative photos, the correct daily price, the item's declared replacement value, and honest availability.
5.3. You must disclose any defect, damage, recall, or safety issue that could affect the Renter's use of the item. If an item is recalled or becomes unsafe, remove the Listing immediately.
5.4. You set your own daily rental price and the item's declared replacement value. Both must be reasonable and stated honestly; the declared value is used to calculate the security hold and any damage protection.
5.5. We may review Listings before they appear in search — including, as a matter of current policy, Listings with a declared replacement value of $150 or more — and we may remove or suspend any Listing at our discretion. A Listing under review may be hidden from search until approved; this will be disclosed to you before or at publishing.
5.6. You must keep your availability calendar up to date and honour confirmed Bookings. Cancelling a confirmed Booking as an Owner is treated under Section 10.
5.7. Until you complete payment onboarding (Section 8), your Listings may be visible, but Renters cannot complete a Booking for them. We will make this limitation visible to Renters before they invest time configuring a booking.
6. Bookings (Renters)
6.1. To book an item you must hold a Boro account, select available dates, complete checkout (including payment of the total shown), and accept the Rental Agreement for that Booking.
6.2. A Booking is confirmed once payment is successfully processed. You will receive confirmation with the pickup details agreed with the Owner.
6.3. The Renter named on the Booking must be the person who picks up and uses the item, unless the Owner agrees otherwise in writing through the Platform.
6.4. Inspect the item at pickup. Report any pre-existing damage through the Platform before use — damage reported after you begin using the item is presumed to have occurred during your Rental Period.
6.5. Pickup and return occur at the time and place agreed with the Owner.
7. Fees, payments, and holds
7.1. At checkout the Renter pays the amount shown, which consists of: (a) the daily rental price × number of days, payable to the Owner; (b) a service fee of 10% of the rental subtotal, payable to Boro; (c) optional damage protection (Section 9), if the Renter selects it.
7.2. A refundable security hold — currently up to 20% of the item's declared value — may be placed on the Renter's payment method at or before pickup. A hold is an authorization only; it is not a charge. It is released when the item is returned in its original condition.
7.3. Payments are processed by our third-party payment processor (currently Stripe). By paying through Boro you also agree to the processor's terms. Boro never sees or stores full card numbers.
7.4. Amounts are shown in the applicable local currency at checkout.
7.5. If you initiate a chargeback or payment dispute instead of using our cancellation, refund, or dispute processes, we may suspend your account pending resolution.
8. Payouts to Owners
8.1. To receive payouts you must complete payment onboarding through our payment processor. Until onboarding is complete, your Listings cannot be booked.
8.2. Rental income is released to your linked payout account after the Rental Period ends and the item is confirmed returned, subject to any open damage claim, dispute, or chargeback.
8.3. Payouts typically arrive within 2–7 business days of release, depending on your country and financial institution.
8.4. You are solely responsible for reporting rental income and remitting any applicable taxes in your jurisdiction.
9. Damage protection
9.1. At checkout, the Renter may add damage protection, calculated as 10% of the item's declared value (minimum $5 per Booking).
9.2. Damage protection covers accidental damage to the item during the Rental Period, up to the item's declared value, subject to the claims process below. It is not insurance.
9.3. Exclusions: intentional damage or misuse; normal wear and tear; loss or theft; damage occurring outside the Rental Period; damage to persons or other property; damage from use in violation of these Terms.
9.4. Damage must be reported through the Platform within 48 hours of return, with photos and a written description. Our determination of a claim is final for purposes of the Platform.
9.5. Approved claims are paid out of the damage-protection pool and/or the security hold, capped at the item's declared value.
10. Cancellations and refunds
10.1. Renter cancellation: free cancellation up to 24 hours before the scheduled pickup time. Cancellations within 24 hours of pickup are subject to a fee equal to one day's rental price; the remainder is refunded.
10.2. Owner cancellation: Owners must avoid cancelling confirmed Bookings. If an Owner cancels, the Renter receives a full refund. Repeated Owner cancellations may lead to Listing removal or account suspension.
10.3. No show: if the Renter does not pick up the item and does not cancel, the cancellation fee in 10.1 applies.
10.4. Late return: charged at the daily rental rate for each additional day or part day.
10.5. Refunds are issued to the original payment method, typically within 5–10 business days.
10.6. Nothing in this Section limits any statutory cancellation or refund rights you have under applicable consumer-protection law.
11. Condition, use, and return of items
11.1. Renters must use items only for their intended, lawful purpose and in accordance with the Listing and the Rental Agreement.
11.2. Items must be returned in the same condition as received (allowing for normal wear), cleaned if applicable, at the agreed time and place.
11.3. Renters must not sublet, lend, modify, disassemble, or attempt to repair a rented item without the Owner's prior consent through the Platform.
11.4. If an item is lost, stolen, or damaged during the Rental Period, the Renter must notify the Owner and Boro promptly through the Platform.
12. Prohibited items and conduct
12.1. You may not list, request, or rent: weapons or ammunition; illegal drugs or drug paraphernalia; items that infringe intellectual property rights; recalled or known-unsafe products; hazardous materials; live animals; or any item whose rental would violate applicable law.
12.2. You may not: create false or duplicate accounts; post false or misleading content; manipulate reviews or ratings; circumvent Platform fees; use Platform messaging to harass or discriminate; or use the Platform for any unlawful purpose.
12.3. Violation may result in Listing removal, Booking cancellation, forfeiture of pending payouts to the extent permitted by law, and account suspension.
13. Reviews
13.1. After a completed Rental Period, both parties may leave a review. Reviews must be honest and based on the actual transaction.
13.2. Reviews may not contain personal contact information, discriminatory language, threats, or unlawful content. We may remove reviews that violate these Terms.
14. Disputes between users
14.1. Owners and Renters should first attempt to resolve disputes directly through the Platform's messaging.
14.2. If you cannot resolve a dispute, either party may escalate it to Boro within 14 days after the Rental Period ends. Boro may, at its discretion, mediate and issue a determination. That determination is binding between the parties for purposes of the Platform.
14.3. Boro's involvement in a dispute does not make Boro a party to your Rental Agreement.
15. Assumption of risk
15.1. Renting and using physical items carries inherent risks, including personal injury and property damage. By using the Platform you acknowledge these risks and assume responsibility for your own safety.
15.2. Owners assume responsibility for the safety of the items they list, including disclosing known hazards under Section 5.3.
16. Limitation of liability
16.1. To the maximum extent permitted by applicable law, Boro's total aggregate liability is limited to the greater of (a) the service fees you paid to Boro in the 12 months preceding the claim, or (b) $100 CAD.
16.2. To the maximum extent permitted by applicable law, Boro is not liable for: the condition, safety, legality, or availability of listed items; the acts or omissions of any user; loss of, theft of, or damage to items; personal injury; or any indirect, incidental, special, consequential, or punitive damages.
16.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
17. Indemnity
17.1. You agree to indemnify, defend, and hold harmless Boro and its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses arising from: (a) your breach of these Terms or the Rental Agreement; (b) your Listings, Bookings, or use of rented items; (c) your violation of any law or third-party right; or (d) any dispute between you and another user.
17.2. This indemnity does not apply to the extent a claim arises from Boro's own gross negligence or wilful misconduct.
18. Term and termination
18.1. These Terms apply for as long as you hold an account or use the Platform.
18.2. You may close your account at any time via your account settings, provided you have no active Bookings and no unresolved claims, disputes, or payouts.
18.3. We may suspend or terminate your account for breach of these Terms, fraud, unlawful activity, or risk to users or the Platform.
18.4. Termination does not affect any confirmed Booking already in progress, which continues under the Terms and Rental Agreement version accepted at booking (see Section 21).
19. Privacy
Our collection and use of personal information — including identity verification and payment processing by our third-party providers — is described in our Privacy Policy. By using Boro you consent to that processing. We do not sell your personal information.
20. Communications
By creating an account you consent to receive transactional communications (booking confirmations, payout notices, claims updates, and legally required notices) by email or in-app notification. You may opt out of marketing communications at any time; transactional communications cannot be opted out of while your account is active.
21. Changes to these Terms and versioning
21.1. We version these Terms (e.g. 1.0, 1.1, 2.0). The current version is always available at /terms.
21.2. We may modify these Terms. Material changes will be notified to the email associated with your account at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
21.3. In-flight bookings are grandfathered: a Booking is governed by the Terms version and the Rental Agreement version in effect when the Booking was confirmed, even if the Terms change before the Rental Period begins or ends.
21.4. If you do not agree to updated Terms, you must stop using the Platform and close your account.
22. Governing law and disputes
22.1. These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles.
22.2. Nothing in these Terms limits or overrides any mandatory consumer-protection rights you have under the laws of your country or region of residence.
22.3. Subject to Section 22.2, any dispute arising from these Terms or your use of the Platform is subject to the exclusive jurisdiction of the courts of Toronto, Ontario, Canada.
22.4. We may publish region-specific supplemental terms. Where they conflict with these Terms, the supplemental terms prevail for users in that region.
22.5. The English version of these Terms prevails in case of inconsistency with any translation.
23. General
23.1. Entire agreement. These Terms, together with the Privacy Policy and the Rental Agreement accepted per Booking, constitute the entire agreement between you and Boro regarding the Platform.
23.2. Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
23.3. No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
23.4. Assignment. You may not assign your rights under these Terms without our written consent.
23.5. Notices. Legal notices to Boro must be sent to [legal contact email / address].
